5.Cause of occurrence:Les Enphants shareholders' meeting resolves the

capital reduction of NTD $350,419,990

6.Countermeasures:

(1)The announcement is made in accordance with Article 281 and 73 of

the Company Act.

(2)As a result of the capital reduction 35,041,999 shares (Par value

NTD $10 per share) will be cancelled with a capital reduction ratio of

25%; the paid-in capital will be NTD $ 1,051,259,990 upon the

aforementioned reduction.

(3)Any creditor of Les Enphants Co., Ltd. craving to object to the

aforementioned capital reduction shall submit an objection in writing

within 31 days from the following day after the date which this announcement

is made, otherwise, it will be deemed to have no objection.
